Terms of Service

1. Definitions

• "Services" refers to staking, delegated staking, and re-staking services provided by Epoch64 to enable users to earn yield on their supported cryptoassets.
• "Supported Cryptoassets" refers to those cryptoassets which are supported by the Services, as listed on our website.
• "Rewards" refers to the transaction fees, rewards, and any other cryptoassets generated by a validator.
• "Slashing" refers to the process by which staked cryptoassets are partly or wholly burned in response to supposed misconduct attributed to a validator.
• "Protocol" refers to the underlying protocol on which each Supported Cryptoasset is run.

2. Our Services

Epoch64 is a "staking as a service" platform. We act as a validator in respect of the Protocols of Supported Cryptoassets. Where you stake using our Service, we will use reasonable skill, care, and diligence to give you the ability to receive Rewards from the relevant Protocol using our infrastructure and validation software.

We do not provide the following services:

• Custody of cryptoassets
• Investment advice
• Suitability assessment of cryptoassets as investments
• Brokerage, crypto exchange services, or management of cryptoassets

3. Risk Acceptance

By accepting these Terms, you acknowledge:

• Digital asset markets are decentralised and unregulated
• Past performance is not indicative of future performance
• There are technical risks including security failures which may result in loss of assets
• Regulatory changes may impact the availability of Services
• Rewards may be considered tax events according to applicable legislation
• Cybersecurity incidents may occur beyond our reasonable control

4. Eligibility

To be eligible for our Services, you must:

• Be at least 18 years old (if an individual)
• Have full power and authority to enter into these Terms
• Not be a Restricted Person or located in a prohibited jurisdiction
• Not have been previously suspended or removed from using our Services
• Comply with all applicable laws and regulations

5. Your Obligations

You agree that you will:

• Be fully responsible for custody and safekeeping of your cryptoassets and private keys
• Not provide access to your private keys to any unauthorized person
• Not use the Services to send or receive cryptoassets other than Supported Cryptoassets
• Not interfere with or disrupt the provision of any Services
• Not further any criminal or fraudulent activity
• Comply with all applicable laws when using Services

6. Fees

In using our Services, you authorise us to deduct our fees from any Rewards you would otherwise receive. Our fees are as set out in the relevant smart contract(s) or as otherwise disclosed to you. There may be additional taxes, fees, and costs other than those imposed by us, and you are responsible for paying these.

7. Slashing

Some of your staked cryptoassets might be "slashed." We will use commercially and technically reasonable efforts to prevent any staked cryptoassets from slashing. However, we shall not be responsible for slashing resulting from:

• Protocol-level failures caused by bugs, maintenance, or upgrades
• Your acts or omissions
• Acts or omissions of any third-party service provider
• Force majeure events
• Acts by hackers or other malicious actors
• Any other events outside of our reasonable control

8. Limitation of Liability

Our Services are provided "as is" and "as available" without any warranty of any kind, either express or implied. We shall not be liable for any indirect damages, lost profits, or damages resulting from lost data or business interruption, provided there has been no gross negligence, wilful misconduct, or fraud on our part.

Our maximum liability for any direct damages shall be limited to the total fees that you have paid to us within three (3) months immediately preceding the events giving rise to any claim.

9. Intellectual Property

All intellectual property rights on the smart contracts, website, and related materials are owned by Yield Labs (Marshall) Limited. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for their intended purpose only.

10. Termination

You may terminate your agreement with us at any time by ceasing to use our Services. We may terminate our agreement with you for convenience at any time by giving notice to you. Upon termination, you will no longer be able to use the Services and must pay all outstanding amounts owed to us.

11. Changes to Terms

We may revise these Terms at any time. We will give you reasonable advance notice of any changes, or we may make changes with immediate effect if they are in your favour. Your continued use of the Services constitutes acceptance of the revised Terms.

12. Governing Law

These Terms, their subject matter and formation, and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Republic of the Marshall Islands.
